Andrew Tyndale-Biscoe (48) – (BCompt, HDip Company Law, JSE Advisory Examinations) andrew

Andrew has 22 years of corporate finance experience, gained during two years with the JSE, five years with Ivor Jones, Roy stockbrokers, four years with Deutsche Bank and thirteen years as founder and director of Manhattan Equity Corporate Finance.

Some of his major transactions include involvement in the listing of twenty-nine companies on the JSE, (including RMB, ABIL, Comair, WBH Ovcon and Discovery), the disposal of Protea Assurance, the unbundling of Malbak, the restructuring of Murray and Roberts, and raising over R3 billion in the listing boom of 1998.

Since 2006 he raised over R1.4 billion for various listed companies.

Jean Williams (41) – (BA Law), HDip Company Law (Cum laude)

jean Prior to becoming a corporate finance practitioner, Jean was employed by First National Bank for three years, and by Anderson Consulting (now Accenture) as a senior Consultant in the Change Management competency for four years.

During the past seven years at Manhattan Equity, she has advised and assisted with the de-listing of Sondor Industries, CCN Holdings and Equinox Holdings, the listing of Fairvest Property Holdings Limited, the unbundling of Scharrighuisen Holdings Limited, the acquisition by Argent Industrial of Jetmaster, Excalibur and Xpanda Industries, the disposal of Samrand Development Holdings of a property portfolio, an offer to minority shareholders of Basil Reed, the Category 1 acquisition of Transbor and Geosearch by Scharrig Mining Limited, a related party disposal by MICROmega Holdings Limited and a settlement offer for Samrand Development Holdings, amongst others. Her areas of specialty include Continuing Obligations, Compliance, JSE Listings Requirements and all JSE Documentation.

Mark Munro (57) – (NDCA, MAP (Wits), FCMA, MBA (Heriot Watt)

Mark has over 24 years of financial management experience, including 13 years as Financial Director of subsidiaries within the Barlows Group. He is a co-founder of Manhattan Equity Corporate Finance and of Value Kwik (Pty) Limited.

His primary area of expertise is the valuation of companies using his proprietary software which he has developed over the course of 15 years. Top institutional fund managers such as Merrill Lynch (London), Old Mutual, Sanlam, RMB Futuregrowth, Prudential and others, all subscribe to Value Kwik’s Free Cash Flow Valuations research, which covers about 150 South African listed companies plus 100 African companies, and will soon cover almost every share worldwide.

Jacques Magliolo (49) – Bcomm – Econ

Jacques has been an investment and corporate strategist for the past 20 years. His experience includes stockbroking (Frankel Pollak, EW Balderson, CA Miller Raw & Co and Global Capital Securities), financial journalism, business development and corporate strategy.

Before setting up his own consultancy and joining Manhattan Equity, he was a director and head of research for local stockbrokers Global Capital Securities. As a team leader, he provided institutions and private clients with industry research, analysis, presentations and reports. His responsibilities involved strategic analysis of global market trends, regional political and economic assessments, industrial company analysis, identifying arbitrage opportunities in warrants and equities, and structuring client portfolios. This is the experience that led to Jacques writing South Africa’s two MBA textbooks – Jungle Tactics: Global Research, Investment and Portfolio Strategies and The Corporate Mechanic. Jacques has also recently published a book on the ALTx.

Ben Graham (44) – B Proc. LLB (Cum laude)

Ben completed his studies at the University of the Orange Free State, graduating with honors. After completion of his studies, Ben lectured at the University of the Orange Free State and later joined the firm Rossouws in Bloemfontein, practicing in all fields of general litigation.

He then moved to Johannesburg where he joined Hofmeyr Herbstein Gihwala Cluver & Walker Inc, practicing in all aspects of commercial law, including but not limited to all forms of mergers, acquisitions, buy-outs and listings on various stock exchanges. He has experience in large scale restructuring of companies including but not limited to corporate recues.

Ben was a founding member of PSG Progressive, a niche financial services firm that was involved in the restructuring and buy-out of a number of banking firms in South Africa. Ben currently concentrates on corporate finance and the structuring of major deals in the mining industry and in particular, but not limited to, the structuring, funding and development of mining opportunities, commodity trading and registration and securing of mineral rights and the further development or sale thereof.

Ben specializes in the drafting of all forms of legal documentation and attends to all commercial, taxation, insolvent law aspects of transactions, public listings, mergers and acquisitions. In general, Ben identifies opportunities for clients and implements the same in the most economically viable and beneficial transaction possible.
